These terms cover how creators, brands, and visitors use COOUP. We've kept them deliberately short — the spirit matters more than the legalese.
Acceptance
By creating a COOUP account or installing the COOUP Shopify app, you agree to these terms. If you're using COOUP on behalf of a company, you confirm you have authority to bind that company.
Operator and applicable law
COOUP is operated by MOOMENN LLC, United States. These terms and the Content and Brand Permissions are governed by applicable United States federal and state law. They do not override mandatory rights or laws that cannot legally be waived, and they do not select an exclusive state court or venue.
The platform
COOUP lets creators promote merchant products through unique, tracked references and earn commission on attributed paid sales. Merchants control their products, prices, and commission rates within their connected store. COOUP acts solely as a technology platform facilitating creator attribution and commission tracking between merchants and creators. COOUP is not the seller of merchant products and is not responsible for fulfilment, shipping, warranties, or customer disputes related to merchant goods.
Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use COOUP. You're responsible for the accuracy of the information you provide and for keeping your account secure.
Creator accounts are free. Creators do not need payment details to register, browse, publish, or promote merchant products. Stripe Connect collects payout details only when a creator chooses to receive earnings.
Creator responsibility
Creators must promote products honestly, comply with applicable advertising and disclosure rules in their jurisdiction, and clearly indicate when a share may earn them a commission. Don't share products you haven't engaged with, don't fabricate results, and don't engage in fraud, fake clicks, self-purchases, or any activity intended to manipulate attribution or earnings. Creators are responsible for reporting and paying any taxes applicable to their earnings.
Merchant responsibility
Brands are responsible for their products, fulfilment, refunds, customer service, taxes, and compliance with the laws of every region they sell into. Merchants set commission rates and agree to settle commission earned by creators on attributed paid sales, less platform fees. COOUP attributes and facilitates sales — it does not become the merchant of record.
Earnings & payouts
Commission is recorded in a pending state at the time of a paid sale. Eligible orders settle after 30 days. Orders refunded before settlement automatically reverse eligible creator commission. Payouts are subject to a minimum threshold and may require identity verification before disbursement.
Shopify pays order proceeds directly to the merchant. After the 30-day maturity window, the merchant liability is limited to the gross creator commission on an eligible attributed order, reduced by eligible refunds received before maturity. The creator receives 90% of that commission and COOUP retains 10%. Merchant liability and creator earnings are kept as separate ledger entries and reconciled independently.
Fees
COOUP uses a hybrid commercial model. Merchants pay the Shopify App Pricing subscription shown when they approve a plan and, on qualifying attributed sales, the commission shown in the app. Shopify handles subscription billing. Creators pay no subscription, listing, or platform fee: creators keep 90% of each earned commission and COOUP keeps 10% to operate the platform. Stripe Connect handles creator payout details and payouts. We may change fees with reasonable notice; changes do not apply retroactively to already-earned commissions. An inactive subscription or unsettled invoice may pause distribution or new attribution until resolved.
When a brand chooses to offer a buyer discount on a sale, that discount is funded entirely by the brand. COOUP does not subsidize discounts and does not deduct them from creator commissions.
Attribution & tracking
When a creator shares a product, COOUP attaches a lightweight, privacy-respecting reference so the right person gets credit for any resulting sale. We do not use third-party advertising cookies or cross-site tracking pixels for attribution. Attempting to manipulate, intercept, or reassign attribution is a material breach of these terms.
Creator attribution attempts graceful persistence across supported checkout flows. Some advanced Shopify purchase flows and store customizations may reduce buyer-discount compatibility on certain products without affecting creator attribution. Creator attribution and buyer discounts are independent — one may apply without the other.
Acceptable use
You may not misuse the platform, attempt to circumvent attribution, scrape data without permission, reverse-engineer the service, interfere with other users, or use the platform to promote prohibited goods or content. Don't create fake accounts, inflate metrics, or attempt to extract data outside the channels we provide.
Prohibited products & content
Merchants and creators may not list, promote, or distribute:
- adult or sexually explicit products
- tobacco, nicotine, vapes, e-cigarettes, or hookah products
- alcoholic beverages
- recreational drugs, cannabis, CBD, THC, psychedelics, or drug paraphernalia
- prescription drugs, controlled substances, steroids, products making medical or treatment claims, or unsafe wellness products
- firearms, ammunition, explosives, tactical weapons, or knives intended as weapons
- gambling products or services
- counterfeit, replica, recalled, or stolen goods
- pyramid or MLM schemes, get-rich-quick schemes, or deceptive products
- hate, extremist, or graphic violent content
COOUP may decline to distribute products that fall outside this policy, and may suspend merchants or remove creator access where required. Decisions here are about platform fit, not punishment — and they do not remove a merchant's products from their own storefront.
Content & rights
You keep the rights to what you create. By posting, you grant COOUP a limited license to display your content inside the COOUP experience for as long as it's published.
Classification & creator-commerce optimization
COOUP may classify products for creator-distribution compatibility — for example, as creator-ready, limited compatibility, or involving advanced checkout logic. These labels are optimization guidance, not punitive enforcement. They help merchants understand which products tend to perform best in creator-led commerce. All synced products remain in the merchant's catalog and storefront regardless of label.
Separately, we may remove content, pause attribution, or suspend accounts where something violates these terms, breaks the law, or threatens the health of the ecosystem. We aim to be calm and consistent about it, and to explain actions when we can.
Regional compliance
You are responsible for complying with the laws of every region in which you operate, including consumer protection, advertising disclosure, tax, data protection, and import/export rules. COOUP provides the tooling; lawful use is yours to maintain.
Global
Truthful promotion
Creators must be honest about product experience, material connections, and commission eligibility. Merchants must provide accurate product, price, fulfilment, refund, tax, and customer-service information for the regions they sell into.
UK
UK users and buyers
Creators and merchants should follow UK consumer, advertising, tax, import/export, and data-protection rules that apply to their activity. COOUP does not become the seller of merchant goods.
EU
EU users and buyers
Creators and merchants should follow EU consumer, advertising, platform, tax, import/export, and data-protection rules that apply to their activity. Regional obligations remain with the party operating or selling in that region.
US
US endorsements
Creators should clearly disclose material connections, including commission eligibility, when recommending products. Merchants remain responsible for substantiating product claims and complying with truth-in-advertising rules.
Canada
Canadian users and buyers
Creators and merchants should follow Canadian privacy, consumer, advertising, tax, import/export, and anti-spam rules that apply to their activity. COOUP keeps platform messages tied to the service relationship.
Termination
We may suspend or terminate accounts that violate these terms, engage in fraud, or pose risk to the platform. You may close your account at any time. Pending payouts that have matured will be settled on closure, subject to verification. Earnings tied to fraudulent activity may be withheld.
Disclaimers
The platform is provided "as is" without warranties of any kind. We do not guarantee specific earnings, traffic, or sales outcomes.
Limitation of liability
To the fullest extent permitted by law, COOUP is not liable for indirect, incidental, or consequential damages, lost profits, or lost data arising from your use of the service. Our aggregate liability is limited to the fees you paid us in the preceding twelve months. Nothing here limits liability that can't be limited by law.
Changes
We may update these terms as the platform evolves and will notify users of material changes.
